1. Acceptance and Scope

1.1. Binding Agreement

These Terms of Service (“Terms” or “Agreement”) constitute a legally binding contract between you—whether an individual end-user, an authorized administrator, a corporate subscriber, or an enterprise entity (collectively, “you,” “your,” or “User”) — and Sujal Krishna, Sounak Roy, and Sarthak Mondal, operating under the brand name Squirrel and the business name Squirrel Tech Services (collectively, “Squirrel Tech Services,” “we,” “us,” or “our”), an unincorporated business entity with its primary operations and administrative address at KP 5, Prashanti Vihar Road, KIIT University, Bhubaneswar, Odisha 751024, India.

By accessing, registering for, authenticating, or utilizing the website located at https://meetsquirrel.com (the “Website”), our application programming interfaces (“APIs”), software extensions, or our autonomous AI executive companion software platform (collectively, the “Services”), you explicitly acknowledge that you have read, understood, and agree to be bound by all of the terms, conditions, and obligations contained within this Agreement. If you are entering into this Agreement on behalf of a company, corporate entity, or other legal organization, you represent and warrant that you possess the requisite legal authority to bind such entity to these Terms. If you do not possess such authority, or if you do not agree to every provision of this Agreement, you must immediately cease all access to and use of our Services.

1.2. Modifications to Terms

We reserve the right, at our sole discretion, to modify, update, or replace any portion of these Terms at any time to reflect changes in our product architecture, market conditions, or international regulatory compliance mandates. We will provide notice of meaningful material updates by posting a prominent notification within the Services dashboard, sending an electronic mail communication to your registered account address, or updating the “Last Updated” timestamp at the top of this document. Any such updates become effective immediately upon publication. Your continued use of the Services following the posting of modifications constitutes definitive acceptance of the revised Terms.

2. Eligibility and Account Registration

2.1. Minimum Age Threshold

The Services are engineered and intended strictly for professional, commercial, and enterprise utilization. You are strictly prohibited from registering an account, manipulating our automated systems, or interacting with the Services if you are under the age of 16 years. We do not knowingly provision accounts or process data for individuals below this age limit. Any account discovered to be owned or operated by an individual under 16 years of age will be permanently terminated without notice.

2.2. Account Security and Credentials

To access the operational core of the AI Executive Companion, you must register an account. You agree to provide accurate, complete, and current information during onboarding and to maintain the accuracy of such records.

Our platform heavily utilizes secure Single Sign-On (“SSO”) and OAuth 2.0 authentication frameworks (e.g., via Google Workspace or Microsoft Azure AD). You are entirely responsible for maintaining the confidentiality of your session tokens, access keys, and account passwords, as well as for any and all administrative or automated activities that occur under your account. You must notify us immediately at privacy@meetsquirrel.com upon discovering any unauthorized security breach, credential compromise, or suspicious system behavior.

3. Browser Automation and Meeting Compliance

3.1. Technical Execution Profile

Squirrel operates as an advanced software-only platform that acts as a virtual attendee at scheduled video conferences. You explicitly acknowledge and authorize Squirrel to access, join, and interact with live synchronized communication events via Browser Automation. When a meeting is authorized through your linked calendar or manually targeted via URL, our system deploys a dedicated, virtualized, and isolated browser instance. This virtual browser securely connects to the designated web-conferencing platform bridge—specifically Google Meet, Microsoft Teams, Zoom, or Cisco Webex—simulating the operational interface of a human attendee.

3.2. Proactive In-Meeting Presence and Transparency

To prevent covert monitoring, the automated browser instance will always identify itself clearly and transparently within the participant directory of the active video conference. The system will display a highly visible structural identifier (e.g., "Squirrel AI Companion [Host: User Name]"). Furthermore, the bot may automatically post an operational disclosure notice in the meeting’s native text chat channel informing all attendees that the session is being processed, transcribed, and analyzed for workflow automation purposes.

3.3. Legal Consent Obligations and Warranties

Multi-jurisdictional wiretapping, surveillance, and electronic recording regulations vary extensively globally (e.g., “all-party consent” vs. “one-party consent” frameworks). You assume full legal and operational responsibility for compliance with all recording laws within your jurisdiction and the jurisdictions of all meeting participants.

By deploying the Squirrel browser automation bot into any communication event, you represent, warrant, and covenant to Squirrel Tech Services that:

1. You have provided clear, advanced, and legally sufficient notice to all participants regarding the presence of the AI Companion.
2. You have obtained all necessary, verifiable explicit consents from every attendee required by applicable regional privacy and electronic communications laws.
3. You will immediately remove the Squirrel bot from the meeting room if any attendee objects to its presence or revokes their consent.

Squirrel Tech Services disclaims all liability resulting from your failure to secure proper consent, and you agree to fully indemnify us against any third-party claims or regulatory fines arising from unauthorized meeting recording.

4. AI Features and Autonomous Task Execution

4.1. Core Cognitive System Architecture

Unlike standard passive transcription utilities that only generate text files, Squirrel is engineered as an active, agentic AI Executive Companion. It captures multi-party audio, uses speech-to-text engines (including AssemblyAI), runs advanced text parsing, and interacts with large language model infrastructures to execute real-world enterprise work across your connected application ecosystems.

4.2. Authorization for Pre-Authorized Workflows

⚠️ Critical Notice on Autonomous Agent Actions

Squirrel can autonomously perform actions across your connected third-party applications WITHOUT asking for real-time human verification or confirmation, driven by parameters defined via user-granted authentication permissions.

By connecting external software integrations, you explicitly grant Squirrel Tech Services a direct cryptographic and operational mandate to issue API commands, write data, modify records, and trigger system workflows on your behalf based on its semantic interpretation of your meetings and text inputs.

These autonomous actions include, but are not limited to:

• Communications: Formulating, drafting, and autonomously dispatching digital emails or chat messages.
• Scheduling: Organizing, modifying, booking, and managing calendar slots and appointment windows.
• Project Management: Creating new tickets, assigning owners, updating task states, and editing kanban parameters inside tools like Jira, Asana, Notion, or Linear.
• CRM Integrity: Generating entries, modifying pipeline deal values, writing call wrap-ups, and managing client histories inside tools like Salesforce or HubSpot.
• Document Architecture: Generating text documents, creating structured markdown summaries, and saving workspace arrays.

4.3. The AI Accuracy Disclaimer and Review Mandate

Artificial intelligence architectures, large language models, and natural language understanding pipelines are inherently probabilistic systems. You explicitly acknowledge, understand, and agree to the following system realities:

• Hallucinations and Errors: AI models can produce outputs that are factually inaccurate, incomplete, misleading, or entirely incorrect (commonly referred to as “hallucinations”).
• Unintended Executions: Squirrel may occasionally misinterpret conversational intent, assign items to the wrong team members, generate incorrect summaries, or execute unintended API actions across your integrations due to ambiguous context or speech-to-text errors.
• Human Verification Required: You maintain an absolute, non-delegable duty to review, verify, audit, and monitor all AI-generated content, automated draft emails, and integrated app states. You acknowledge that you rely on AI-generated summaries and autonomous execution paths entirely at your own risk. Squirrel Tech Services is not liable for any commercial losses, deleted database records, or misrouted corporate communications caused by automated system actions.

4.4. Experimental and Beta Features

We may occasionally offer specialized features marked as “Beta,” “Alpha,” “Experimental,” or “Pilot” (collectively, “Beta Features”). You acknowledge that Beta Features are provided for evaluation purposes only, may contain technical bugs, are inherently unstable, and are provided completely "AS IS" without warranties or uptime commitments of any kind. We reserve the right to suspend, terminate, modify, or restrict access to Beta Features at any time without liability.

5. Third-Party Services and Integrations

5.1. Scope of Enterprise Integrations

The Services provide extensive cross-application capabilities by connecting to an expansive suite of external tools, including:

• Calendar/Video: Google Calendar, Microsoft Calendar, Google Meet, Zoom, Microsoft Teams, Cisco Webex.
• CRMs: Salesforce, HubSpot, Pipedrive, Zoho CRM, Attio, Close, Copper CRM, Freshsales, Microsoft Dynamics.
• Knowledge/Collaboration: Notion, Asana, Jira, Trello, ClickUp, Monday, Airtable, Wrike, Linear, Basecamp, MeisterTask, Smartsheet, Slack, Confluence.
• Storage/Docs: Google Drive, Google Docs, Dropbox, OneDrive, SharePoint, OneNote.
• Productivity/Middleware: Todoist, Clockify, Everhour, Zapier, n8n, FlowMattic, Webhooks, and Custom APIs.

5.2. User Management of External Permissions

To enable these integrations, you must authenticate them using your external account credentials via OAuth 2.0. You remain solely responsible for maintaining the correct access scopes, permissions, configuration parameters, security rules, and terms of service compliance for all connected third-party platforms.

Squirrel Tech Services exercises no operational control over the availability, security, uptime, API structural changes, or data handling policies of these third-party systems. Any data read, retrieved, transmitted, or modified by Squirrel within an external system is done with your direct authorization. We are not liable for any fees, service suspensions, data corruption, or contractual violations you experience with third-party providers as a result of using Squirrel’s automated integrations.

6. Subscription Plans, Payments, and Taxes

6.1. Tiered Service Plans

Squirrel offers its Services across multiple subscription tiers (Basic, Pro, and Max), which can be billed on a recurring Monthly or Annual cycle. The specific functional limits, token volumes, storage capacities, and integration scopes for each plan are detailed on our pricing page and are incorporated into these Terms by reference.

6.2. Billing Mechanics via Razorpay

All payment orchestration, recurring billing tokens, card processing, and financial transactions are securely handled by our third-party payment gateway partner, Razorpay. By signing up for a paid tier, you authorize Razorpay to charge your designated credit card, corporate debit account, net banking portal, or UPI address for all applicable subscription fees. You must provide current, valid, and authorized financial details. You authorize us and Razorpay to continuously charge your selected payment method automatically at the start of each billing cycle until you formally cancel your subscription.

6.3. Strict No-Refunds Policy

🛑 Finality of Charges

All payments made to Squirrel Tech Services via Razorpay are strictly non-refundable. We do not provide refunds, pro-rated cash credits, or fee adjustments for partial subscription months, unused AI tokens, or early cancellations.

6.4. Cancellation Procedure and Term Renewal

You may cancel your Squirrel subscription at any time through your account security dashboard. Your cancellation request will take effect at the end of your current active billing cycle. Your access to the paid tier’s advanced features, higher token limits, and autonomous features will remain active until the end of that paid period, at which point your account will automatically transition to our baseline free tier or be paused.

6.5. Taxes and Levies

All stated subscription prices are exclusive of statutory taxes, value-added levies, duties, or Goods and Services Tax (“GST”) unless explicitly stated otherwise. You are responsible for paying all applicable national, state, or local taxes associated with your purchase of the Services. If we are legally required to collect or remit GST under Indian tax laws, these charges will be calculated and added to your final invoice during the Razorpay checkout process.

7. User Content and Intellectual Property

7.1. Definition of User Content and Inputs

“User Content” means all raw information, text files, calendar parameters, integration inputs, and digital data uploaded, linked, or submitted to the Services by you. “Meeting Content” refers to the raw multi-party audio files, metadata, speaker matrices, and text transcripts captured during a synchronized communication session.

7.2. Ownership Rights

You retain all right, title, and ownership over all User Content and Meeting Content. Squirrel Tech Services does not claim any ownership rights over the intellectual property contained in your communications, transcripts, workflow inputs, or corporate documents.

7.3. Limited Operational License to Squirrel

To provide the automated companion services, generate summaries, and run integrations, you grant Squirrel Tech Services a worldwide, non-exclusive, royalty-free, fully paid-up sublicensable license to host, transmit, reproduce, modify, analyze, parse, run, and display your User Content and Meeting Content. This license is strictly limited to the operational delivery, engineering support, security maintenance, and execution of the Services for your explicit benefit. As detailed in our Privacy Policy, this license does not allow us to use your inputs, transcripts, or data to train or fine-tune our proprietary AI models or third-party foundational algorithms.

7.4. AI-Generated Output Assets

All text summaries, structured action items, task definitions, emails, and custom text documents generated by Squirrel’s AI models in response to your Meeting Content are your property. Squirrel Tech Services transfers all right, title, and interest in these AI-generated outputs to you. You assume all legal responsibility, risks, and copyright enforcement rights associated with these outputs, acknowledging that similar or identical content may be generated for other users if they input similar meeting scenarios.

8. Platform Restrictions and Acceptable Use

You agree not to misuse the Services or help anyone else do so. You must not:

• Reverse engineer, decompile, disassemble, or attempt to extract the source code, foundational prompt engineering structures, or underlying machine learning models of Squirrel.
• Deploy any malicious automated scripts, spiders, scrapers, or indexers to extract data from the Website or Services outside of authorized platform APIs.
• Use Squirrel’s browser automation bot to access digital meeting spaces where you have not been invited or where you lack the proper consent from the participants.
• Bypass, disable, or attempt to defeat any security measures, token limits, rate limiters, or access restrictions built into the Services.
• Use the Services to create, host, or distribute content that is illegal, defamatory, abusive, harmful, or infringes on the intellectual property or privacy rights of third parties.
• Attempt to disrupt the stability, availability, or operational infrastructure of our hosting platforms or connected database networks.

9. Suspension and Termination

9.1. Termination for Convenience

You may stop using the Services and delete your account at any time. We reserve the right to suspend or terminate your access to the platform for convenience by providing you with 30 days’ advance electronic notice.

9.2. Termination for Material Breach

We reserve the right to immediately suspend, restrict, or terminate your account, without prior notice or liability, if we determine in our sole discretion that:

• You have materially breached any provision of these Terms or our acceptable use guidelines.
• Your account activities pose a significant security risk, threaten our operational stability, or violate third-party intellectual property rights.
• We are required to do so to comply with a valid legal mandate or government order.

9.3. Post-Termination Data Lifecycle and 30-Day Recovery Buffer

Upon account termination or explicit closure:

• Soft-Deletion Buffer: Your account state, linked configurations, and historical transcripts enter a restricted “soft-deleted” status for exactly 30 days. During this window, all autonomous workflows stop and API access tokens are frozen, but your historical records remain recoverable if the account closure was an error.
• Permanent Removal: Once this 30-day recovery buffer expires, all account assets, API tokens, meeting transcripts, and AI-generated text blocks are permanently erased from our production databases (NeonDB clusters) within our standard system lifecycle.
• Statutory Archives: We may retain minimal account metadata, billing histories, and tax transaction logs for up to 7 years in our secure offline archives purely to satisfy statutory accounting audits and financial compliance rules in India.

10. Disclaimers and Warranties

10.1. "AS IS" Operational Guarantee

The Services are provided completely "AS IS" and "AS AVAILABLE," without warranties of any kind, whether express, implied, statutory, or otherwise.

To the maximum extent permitted by applicable law, Squirrel Tech Services, its founders Sujal Krishna, Sounak Roy, and Sarthak Mondal, and its suppliers explicitly disclaim all implied warranties, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, quiet enjoyment, accuracy, systemic integration, and non-infringement.

10.2. Specific AI and Network Disclaimers

We make no representations or warranties that:

1. The Services, transcription outputs, speaker labels, or automated summaries will be completely error-free, continuous, secure, or accurate.
2. The AI Companion will correctly interpret conversational context or perfectly execute every autonomous API task across your connected integrations.
3. The Services will meet your specific business requirements, maintain compatibility with ongoing third-party API changes, or produce identical results across different web-conferencing systems.
4. The browser automation bot will always be granted entry into video conferencing rooms by third-party security systems or network administrators.

11. Limitation of Liability

11.1. Exclusion of Damages

To the maximum extent permitted by applicable law, Squirrel Tech Services, its founders, and its representatives shall not be liable to you or any third party for any indirect, incidental, special, consequential, punitive, or exemplary damages whatsoever. This includes, without limitation, damages for loss of business profits, corporate revenue opportunities, goodwill, data integrity, database corruption, intellectual property claims, or the cost of acquiring substitute services, even if we have been advised of the possibility of such damages.

11.2. Hard Liability Cap

In no event shall the total aggregate liability of Squirrel Tech Services arising out of or related to this Agreement or your use of the Services exceed the total amount of subscription fees actually paid by you to us during the twelve (12) month period immediately preceding the event giving rise to the liability. This cap applies regardless of whether the claim is based on contract, tort, negligence, strict liability, breach of warranty, or any other legal theory.

12. Indemnification

You agree to fully defend, indemnify, and hold harmless Squirrel Tech Services, its founders Sujal Krishna, Sounak Roy, and Sarthak Mondal, its contractors, and its partners from and against any and all third-party claims, liabilities, damages, losses, regulatory penalties, costs, and expenses (including reasonable legal fees) arising out of or related to:

• Your material breach of any provision, representation, or warranty contained within these Terms.
• Your failure to secure proper, legally sufficient notice and consent from all participants before deploying our browser automation bot into a video conference.
• Any unauthorized actions executed by our autonomous AI agent using valid OAuth 2.0 integration permissions that you configured.
• Your violation of any applicable regional privacy laws, intellectual property rights, or the terms of service of any connected third-party platforms.

13. Governing Law and Dispute Resolution

13.1. Governing Law

This Agreement, its interpretation, and all legal relationships, claims, or disputes arising out of or in connection with these Terms or the use of the Services shall be governed exclusively by the laws of India, without regard to its choice of law or conflict of laws principles.

13.2. Exclusive Court Jurisdiction

You and Squirrel Tech Services explicitly agree that any and all legal actions, lawsuits, regulatory proceedings, or judicial disputes arising out of or relating to this Agreement must be filed and pursued exclusively in the competent courts located in Bhubaneswar, Odisha, India. Both parties hereby irrevocably submit to the personal jurisdiction and venue of these courts and waive any objections based on inconvenient forum (forum non conveniens).

14. General Provisions

14.1. Entire Agreement

These Terms, along with our Privacy Policy and any applicable billing agreements processed via Razorpay, constitute the entire legal agreement between you and Squirrel Tech Services regarding your use of the Services. This agreement supersedes all prior or contemporaneous communications, understandings, proposals, or arrangements, whether oral or written, between the parties.

14.2. Severability

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions of this Agreement will remain in full force and effect.

14.3. Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations under this Agreement (except for payment obligations) due to events beyond its reasonable control. These events include, but are not limited to, acts of God, natural disasters, strikes, wars, riots, government interventions, regional electricity grid blackouts, widespread internet infrastructure disruptions, or major cloud infrastructure failures.

14.4. Open Source Components

The platform may use certain open-source software libraries. Each open-source library is governed by its own applicable licensing terms, which are available upon request. Nothing in these Terms limits your rights under, or grants you rights that supersede, the terms of any applicable open-source user license.

14.5. Non-Waiver

Our failure to enforce any right or provision contained within these Terms does not constitute a waiver of that right or provision, or of our right to enforce that provision in the future.

14.6. Assignment

You may not assign, delegate, or transfer your rights or obligations under these Terms without our prior written consent. Squirrel Tech Services may freely assign, transfer, or delegate its rights and obligations under this Agreement to a successor entity or third party at its sole discretion, including in connection with a corporate reorganization, merger, asset sale, or incorporation.

14.7. Electronic Communications

You consent to receive all notifications, agreements, disclosures, and operational updates from us electronically, either by posting them within the platform dashboard or sending them to your registered email address. You agree that all electronic notices satisfy any legal requirement that such communications be in writing.
